Licence agreement

This End-User License Agreement ("EULA") is an agreement between you and [Business name] for the [Software name] software, including any updates (the "Software"). By installing or using the Software you agree to this EULA. If you do not agree, do not install or use it.

Licence grant

[Business name] grants you a revocable, non-exclusive, non-transferable, limited licence to download, install and use the Software for your personal or internal business purposes on devices you own or control, in accordance with this EULA.

Restrictions

You may not, except as the law expressly allows:

copy, modify or create derivative works of the Software;
reverse engineer, decompile or disassemble it;
rent, lease, sell, sublicense or distribute it;
remove or alter any proprietary notices;
use it to break the law or build a competing product.

Ownership

The Software is licensed, not sold. [Business name] and its licensors keep all rights, title and interest in it, including all intellectual property rights.

Updates and support

We may provide updates, which are covered by this EULA. We are not obliged to provide updates, maintenance or support.

Third-party components and app stores

The Software may include open-source or third-party components licensed under their own terms. If you obtained the Software from an app store, the store's terms also apply; for apps obtained from the Apple App Store, Apple's Licensed Application End User License Agreement applies unless this EULA meets its minimum requirements.

Termination

This EULA is effective until terminated. It ends automatically if you fail to comply with it. On termination you must stop using and delete the Software.

Warranty disclaimer and limitation of liability

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, TO THE FULLEST EXTENT PERMITTED BY LAW. [BUSINESS NAME] WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING FROM ITS USE. Some jurisdictions do not allow these limits, so they may not apply to you.

EULA vs terms of service

A EULA licenses a copy of software the user installs; terms of service govern an ongoing online service. Many apps need both: the EULA for the installed binary, terms for the account and cloud features. On the Apple App Store, Apple's standard Licensed Application EULA applies unless you provide your own.

Do I need a EULA for my app?

Not by law, but a EULA protects your code against copying and reverse engineering and limits liability. App stores provide default licences you can rely on instead.

Is it really free? Do I need an account?
